Registration Agreement
We take your privacy and security very seriously. When you choose to use Hiveminder to keep track of what needs doing, you're entrusting us with something important to you. We're going to do everything we can to make sure that your information stays safe and private. The legalese below basically says that we can charge you for your Pro account if you buy one, that we do actually collect your personal information, that we'll be very careful with it and that if somebody tries to mess with us or you, we can do what we need to to stop them and make sure it doesn't happen again.
Our lawyers are somewhat old-school and believe strongly in the power of dense legalese to protect everybody involved. If anything on this page makes your spidey-sense tingle, drop us a line at info@hiveminder.com and we'll do whatever we can to improve the situation.
PLEASE READ THIS AGREEMENT CAREFULLY. BY REGISTERING TO USE HIVEMINDER™(THE "SERVICE"), YOU ACCEPT AND AGREE TO ABIDE BY ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU. IF YOU DO NOT ACCEPT THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MUST CLICK ON THE "CANCEL" BUTTON AND NOT REGISTER TO USE THE SERVICE. WHEN USED IN THIS AGREEMENT, THE WORDS "YOU" AND "YOUR" MEAN THE PERSON THAT IS REGISTERING FOR THE SERVICE AND THE WORDS "WE," "OUR," "US" AND "BPS" MEAN BEST PRACTICAL SOLUTIONS LLC, THE OWNER AND OPERATOR OF THE SERVICE.
WE MAY CHANGE THE TERMS OF THIS AGREEMENT AT ANY TIME BY NOTIFYING YOU BY EMAIL AT THE ADDRESS YOU PROVIDED TO US. YOUR USE OF THE SERVICE AT ANY TIME AFTER SUCH NOTIFICATION WILL CONSTITUTE YOUR AGREEMENT TO SUCH CHANGES.
YOUR USE OF THE SERVICE WILL ALSO BE GOVERNED BY THE TERMS OF USE AND PRIVACY POLICY, WHICH ARE INCORPORATED INTO AND MADE A PART OF THIS AGREEMENT IN THEIR ENTIRETY.

We will, and you expressly authorize us to, use the information you provide in your Registration to:
a. provide and administer the Service including, without limitation, processing payments as set forth under 'Billing' below;
b. communicate with you about services, features, products, special offers and unique content available through the Service or other topics related to the Service that we think you might find of interest; and
c. communicate with you about other products or services offered by us.

a. In order to use the Service, you will be required to create a unique username and password or select another authentication mechanism (in each case, your "Credentials"). You may only access the Service using your Credentials, and may not access the Service using the Credentials of any other person.
b. You may not resell, in whole or part, or otherwise commercially exploit, assign or transfer your right to use the Service. You may not make your Credentials available to others, nor allow use of the Service by others through your Credentials.
c. You agree to accept sole responsibility and liability for maintaining the confidentiality of your Credentials, for restricting access to your Credentials and for all use, whether authorized or unauthorized, of the Service under your Credentials.
a. If you sign up to use any premium levels of the Service, you will be billed at the rates and times set forth in the Registration for the levels of the Service for which you subscribe (the "Charges"). We reserve the right to change rates or institute new fees at any time upon thirty (30) days prior written or electronic notice to you. All Charges are non-refundable.
b. Charges will automatically be billed in advance (or such other period as BPS may, in its sole discretion, choose and notify you) to the credit card designated in your Registration or any substitute credit card that you designate using the account management feature of the Service, and you hereby authorize this automatic billing. It is your responsibility to notify us in a timely manner of any changes to your credit card information.
c. If for any reason we are unable to bill Charges to your credit card, BPS will suspend your use of the Service and promptly notify you and upon receipt of such notice you will promptly pay any outstanding charges through means other than the credit card. As a condition to your continued use of Service, you will be required to provide BPS with the information and authorization necessary to bill a different credit card for Charges going forward. Your use of the Service, and your new billing cycle, will re-commence upon our acceptance of such information and authorization.
d. Billing for Charges will continue until your use of the Service is terminated as set forth below.
You may terminate your use of the Service immediately at any time by using the account management feature of the Service. We will send confirmation of your termination by email to the email address provided by you in your Registration. In addition, we may terminate your use of the Service for your breach of this Agreement or the Terms and Conditions, including for non-payment of Charges, immediately by email notice to the email address provided by you in your Registration. Upon termination, you will have no further right to use the Service.
a. You agree that, in using the Service, you will at all times:
(i) comply with this Agreement and the Terms of Use and Privacy Policy for the Service;
(ii) be solely responsible for all content or information published or displayed by you through the Service;
(iii) not use the Service to publish or display any content or information that: (i) is defamatory, trade libelous, or unlawful; (ii) is obscene or pornographic; (iii) violates unfair competition, anti-discrimination or false advertising laws; (iv) infringes third party copyright, trademark or similar rights; (v) contains viruses, trojan horses, worms, robots or other computer programming routines intended to damage, interfere with, intercept or expropriate system, data or personal information; or (vi) violates laws relating to individual privacy or the distribution of email messages, including, without limitation, the United States Controlling the Assault of Non-Solicited Pornography and Marketing Act of 2003;
(iv) not take any action that would expose BPS or its officers, directors, owners, agents, partners, information providers or affiliates to liability to any third party; and
(v) not take any action that would violate the security or interfere with the operations of the Service, whether intentionally, negligently or otherwise.
b. If we are notified, or otherwise reasonably determine, that you are using the Service in violation of Section 5.a, we may suspend your use of the Service. As a condition to your continued use of Service, you will be required to address such violation to our satisfaction. Our rights in this Section 5.b are in addition to our termination rights in the Terms and Conditions.
Your use of the Service will be governed by and construed in accordance with the substantive laws in force in the Commonwealth of Massachusetts. The courts of Suffolk County, Massachusetts will have exclusive jurisdiction over all disputes relating to this Agreement. This Agreement will not be governed by the conflict of law rules of any jurisdiction.
